1) Acceptance of These Terms

By downloading, accessing, or using ReviewScout AI ("the App"), developed and operated by Deeprion Labs LLC ("we," "us," or "our"), you agree to these Terms. If you do not agree, do not use the Services.

2) The Services

ReviewScout AI helps you:

• Connect to your Google Business Profile,
• Sync and view reviews,
• Generate AI-assisted reply drafts and insights,
• Publish replies when you choose to do so.

AI-generated drafts are suggestions only. You are responsible for reviewing and approving content before publishing.

3) Eligibility & Account Responsibility

You must be at least 13 years old to use the Services. If you are under 18, you must have parental or guardian consent.

You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.

4) Connected Accounts and Third-Party Services

If you connect third-party services (e.g., Google Business Profile), you authorize ReviewScout AI to access and process data required to provide the Services (e.g., fetching reviews, publishing replies you approve). You can disconnect connections within the App where available.

We do not control and are not responsible for third-party services, their terms, or their availability.

5) Prohibited Uses

You agree not to:

• Generate, solicit, or facilitate fake or misleading reviews or attempt to manipulate ratings
• Violate third-party platform policies or applicable laws
• Attempt to bypass security, scrape, probe, or abuse our systems
• Use the Services for deceptive, unlawful, harmful, or harassing activity
• Share your account credentials with others or allow unauthorized access

6) Subscriptions, Free Trials, Billing, and Cancellation

Plans and Pricing:

• Starter: Pricing coming soon
• Pro: Pricing coming soon

Free Trial: We may offer a 7-day free trial for Starter and/or Pro plans where available. Trial eligibility is determined by Apple and may not be available to all users. If you do not cancel before the trial ends, you will be charged the applicable subscription price.

If you purchase a subscription through Apple In-App Purchase:

• Payment is charged to your Apple ID at confirmation of purchase.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period.
• You can manage or cancel your subscription in your App Store account settings.
• Refunds are handled by Apple under Apple's policies.

Prices may change. We will provide notice of price changes through the App or App Store. Continued use after a price change constitutes acceptance of the new pricing.

7) Changes to the Services

We may modify, suspend, or discontinue parts of the Services at any time. We may also update these Terms. Continued use after changes are posted means you accept the updated Terms.

8) Intellectual Property

The App and Services, including software, design, branding, and content provided by us, are owned by Deeprion Labs LLC. You may not copy, modify, distribute, or reverse engineer the Services except where allowed by law.

9) Your Content

You retain ownership of content you provide. You grant us a limited license to host, process, and display your content solely to provide and improve the Services. We do not claim ownership of your reviews, business data, or any content you submit through the App.

10) Disclaimers

The Services are provided "as is" and "as available." We do not warrant uninterrupted operation, error-free performance, or that the Services will meet all requirements. AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and approving any content before publishing.

11) Limitation of Liability

To the maximum extent permitted by law, Deeprion Labs LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from your use of the Services. Our total liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12) Termination

We may suspend or terminate your access if you violate these Terms or if required for security, legal, or operational reasons. You may stop using the Services at any time.

13) Account Deletion

You can initiate account deletion within the App (Profile > Delete Account). Deletion removes your account from our records and deletes associated personal data within 30 days. Some information may be retained if legally required (e.g., billing records).

14) International Users

If you access the Services from outside the United States, you consent to the transfer and processing of your data in the United States. For users in the European Economic Area, we process personal data as described in our Privacy Policy in accordance with applicable data protection laws.

15) Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

16) Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
